Dispute Resolution Policy

This Dispute Resolution Policy ("Policy") outlines the process for resolving disputes related to the use of the services provided by Loki Technologies LLC ("Provider") through its website, www.lokiteck.com ("Website"). By accessing or using the Website or any services provided by Provider (collectively, "Services"), you agree to resolve disputes in accordance with this Policy.
1. Scope of the Policy
1.1 This Policy applies to any disputes, claims, or controversies ("Disputes") arising out of or relating to the use of the Services, this Policy, or any related agreements.
1.2 Disputes may include but are not limited to:
(a) Issues related to service performance, fees, or billing.
(b) Claims of breach of contract, negligence, or misrepresentation.
(c) Allegations of unauthorized use or data protection violations.
2. Initial Resolution Process
2.1 Good Faith Negotiation: Before initiating formal proceedings, the parties agree to make a good faith effort to resolve the Dispute through informal discussions.
2.2 Notice of Dispute: The party raising the Dispute must provide a written notice to the other party, including:
(a) A detailed description of the issue.
(b) Relevant supporting documentation.
(c) The desired resolution.
2.3 Response Timeline: The receiving party shall acknowledge receipt of the notice within five (5) business days and provide a substantive response within fifteen (15) business days.
3. Mediation
3.1 If the Dispute cannot be resolved through informal discussions within thirty (30) days of the Notice of Dispute, the parties agree to submit the Dispute to mediation before a neutral third-party mediator.
3.2 Mediation Process:
(a) The mediator shall be mutually agreed upon by both parties.
(b) Mediation will take place in New Jersey, USA.
(c) Each party shall bear its own costs of mediation, and the fees of the mediator will be shared equally.
3.3 Mediation is a non-binding process, and either party may proceed to arbitration if the Dispute remains unresolved.
4. Arbitration
4.1 Binding Arbitration: If mediation fails, the parties agree to resolve the Dispute through binding arbitration administered by The American Arbitration Association (AAA).
4.2 Arbitration Rules:
(a) The arbitration shall be conducted in accordance with the Commercial Arbitration Rules of the AAA.
(b) The arbitration will take place in New Jersey, USA.
(c) The decision of the arbitrator(s) shall be final and binding.
4.3 Arbitration Costs: Each party shall bear its own legal costs, but the fees of the arbitrator(s) shall be shared equally, unless the arbitrator(s) decide otherwise.
5. Exclusions
5.1 This Policy does not prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for issues related to intellectual property rights or unauthorized access to data.
5.2 Small Claims: Either party may bring a Dispute within the jurisdictional limits of small claims court instead of arbitration.
6. Governing Law
6.1 This Policy and any Disputes arising under it shall be governed by the laws of New Jersey, without regard to its conflict of laws principles.
7. Modifications to the Policy
Provider reserves the right to modify this Policy at any time. Changes will be effective upon posting to www.lokiteck.com/dispute-resolution. Your continued use of the Services after changes have been posted constitutes your acceptance of the revised Policy.
